The challenge

In 2010, SAB (now SABMiller, part of AB InBev) created a BBBEE Programme that would redress historical imbalances, drive socioeconomic progress and benefit stakeholder groups who had played a role in SAB’s success. They needed a partner who could assist with the unwind of this massive BEE programme.

The RMB solution

RMB partnered with SAB as advise on the unwind of its historic broad-based BEE transaction, SAB Zenzele, resulting in 40,000 SAB employees, retailers and the SAB Foundation receiving AB InBev shares or cash totalling R8.6-bn.

In addition, RMB, acting as joint global co-ordinator and bookrunner, concluded a R7.5-bn placement of AB InBev shares to settle the cash payouts. .

The unwind of SAB Zenzele has resulted in 40,000 SAB employees, retailers and the SAB Foundation benefitting with either AB InBev shares or cash totalling R8.6-bn.
